Services Specific Terms and Conditions: WhatsApp Business Services

As an authorized Meta Business Solution Provider, PaaSoo agrees to provide you with the WhatsApp Business Services (the “Business Services”). The WhatsApp Business Services refer to a set of features and tools designed and developed by WhatsApp for businesses to communicate with their customers.

Your use of WhatsApp Business Services is subject to your compliance with these Services Specific Terms and Conditions:

Registration and Account Security. To use the Services, you must create a WhatsApp business account by providing accurate, current, and complete information, including your valid legal business phone number, company name, and other information required by WhatsApp. You will keep your business account information updated.

You shall only allow authorized individuals acting on your behalf to access and use your WhatsApp business account for purposes authorized under WhatsApp Service Terms as defined in the following section. You must: (a) maintain the security of your account credentials; (b) keep your devices and WhatsApp account safe and secure; (c) prevent unauthorized use of or access to the Business Services; and (d) immediately notify PaaSoo if you discover or suspect any security breaches related to the Business Services or if you discover or suspect any such unauthorized access or use.

Service Terms. Your use of the WhatsApp Business Services is governed by various terms and conditions, including but not limited to:

These terms and conditions may be updated unilaterally and without prior notice by Meta or WhatsApp and are herein collectively referred to as the "Service Terms."

You undertake to comply with the Service Terms and any other related documentation provided by Meta or WhatsApp as well as all applicable laws and regulations.

WhatsApp reserves the right to limit, throttle, suspend, or terminate your account, if you breach these Service Terms or fail to comply with WhatsApp's policies.

Acceptable Use. By using the Services, you agree to comply with the WhatsApp Business Messaging Policy and the WhatsApp Business Terms of Service, as specified in the previous section, and not to use the Services in any illegal or prohibited manner, as defined in these policies.

You must not directly, indirectly, or through automated or other means: (a) use the Business Services for personal, family, or household purposes; (b) instigate, engage in, or encourage any harassing, threatening, intimidating, predatory, or stalking conduct, or any other conduct that would be illegal or otherwise inappropriate, such as promoting violent crimes, endangering or exploiting children or others, or coordinating harm; (c) use or attempt to use another user’s account without prior authorization from that user and WhatsApp; (d) impersonate or register on behalf of any person or entity or otherwise misrepresent your affiliation with a person or entity, perpetrate fraud, or publish falsehoods or misleading statements; (e) collect information of or about other users in any impermissible or unauthorized manner; (f) use the Business Services other than for their intended purpose or interfere with, disrupt, negatively affect, or inhibit other users; (g) damage, disable, overburden, or impair the Business Services; (h) send, distribute, or post spam, unsolicited electronic communications, chain letters, pyramid schemes, or illegal or impermissible communications; (i) post, upload, or share any content which is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, hateful, ethnically or racially offensive, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or is in WhatsApp’s sole judgment objectionable; (j) encourage or provide instructions for a criminal offense; (k) distribute any viruses, corrupted data, or other harmful, disruptive, or destructive files or content; (l) bypass, ignore, or circumvent instructions in WhatsApp’s robots.txt file or any measures employed by PaaSoo or WhatsApp to prevent or limit access to any part of the Business Services, including content-filtering techniques; or (m) expose PaaSoo, WhatsApp or others to any type of harm or liability.

Opt-in. You shall only contact people on WhatsApp if: (a) they have given you their mobile phone number; and (b) you have received opt-in permission from the recipient confirming that they wish to receive subsequent messages from you on WhatsApp. The opt-in must (a) clearly state that the person is opting in to receive messages from you over WhatsApp and (b) clearly state your business' name.

You are solely responsible for determining the method of opt-in, that you have obtained opt-in in a manner that complies with laws applicable to your communications, and that you have otherwise provided notices and obtained permissions that are required under applicable law.

You must respect all requests (either on or off WhatsApp) by a person to block, discontinue, or otherwise opt out your communications via WhatsApp, including removing that person from your contacts list. You shall not confuse, deceive, defraud, mislead, spam, or surprise people with your communications.

Liability and Indemnification. You will not (nor assist others to) violate any applicable law, contract, intellectual property, or other third-party right, and you are solely responsible for your conduct while using the Business Services.

You are responsible for all activities occurring under your account.

You agree to defend, indemnify, and hold harmless PaaSoo from and against all liabilities, damages, losses, and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any of the following (“Claim”): (a) your access to or use of the WhatsApp Business Services, including information provided in connection therewith; (b) your breach or alleged breach of the Service Terms or applicable law; and (c) any misrepresentation made by you.
